Why clickwraps are enforceable

Courts in the US, EU, and many other jurisdictions have consistently upheld clickwrap agreements when they meet certain criteria:
  • Conspicuous presentation — The agreement was clearly presented to the user
  • Affirmative action — The user performed an explicit action to accept (e.g., clicking “I Agree”)
  • Opportunity to review — The full text was available before acceptance
  • Record of acceptance — There is evidence that the specific user accepted the specific terms at a specific time

How ClickTerm strengthens enforceability

Proof of presentation

ClickTerm records when the clickwrap was presented to the end user (presentedAt timestamp), separate from when they took action (actionAt). This demonstrates the user had the opportunity to review the terms.

Immutable content

Every published template version is immutable. The exact text presented to the user is preserved and can be retrieved at any time, proving what the user agreed to.

The digitally signed PDF provides a single document containing all evidence of consent — suitable for presenting in legal proceedings or regulatory audits.

Version control

ClickTerm’s major/minor versioning ensures that when terms change materially, users must re-accept. This addresses the legal requirement that consent must be current and informed.

  • Make the full text scrollable — Ensure users can read the entire agreement
